One register of record for equity, CCPS, SAFE notes and convertible notes. Five valuation approaches on the same numbers. And every event logged, with the resolution or agreement attached to it.
Encrypted at rest and in transit · Built for the DPDP Act
It works right up until it matters — a diligence request, a secondary, a 409A, an ESOP top-up — and then nobody can prove what the numbers were on the day the board approved them.
The cap table lives in a spreadsheet that one person understands.
One register of record, with every holder and instrument reconciled to the share count.
The valuation lives in a different spreadsheet, rebuilt from scratch each round.
Five approaches, versioned, with the inputs behind every number one click away.
The board resolution that authorised it is somewhere in an email thread.
Every event logged, with the resolution or agreement attached to it.
Nobody can say who changed the ESOP pool, or when, or why.
A complete audit trail: who, what, from what to what, and when.
A cap table that holds only ordinary equity is not wrong at the edges — it is wrong about the founders. CCPS, SAFEs and convertible notes are not shares today and will be shares at the next price, and a register that leaves them out reports a stake nobody actually owns.

The question a term sheet actually asks is what you own afterwards. Model the round against the live register and every holder’s position moves with it — computed from the share counts, not from a percentage somebody typed into row 14 last quarter.

Five methods, each with its inputs visible and its weight stated. Two of them belong at seed and are marked as such — they stay on the record because the seed round used them, and they carry no weight now. A tool that runs Berkus on a Series C and reports the answer is selling confidence it has not earned.
Inputs
Most sensitive to the discount rate. A 100bp move in WACC shifts this by roughly ₹21M.
Issuances, grants, exercises, secondaries and cancellations, each carrying the price it happened at and the agreement it happened under. A cancellation reduces the count and shows in brackets, because a share movement you cannot reverse out of the total is a share movement you cannot audit.

The board consent that authorised an issuance belongs on the issuance, not in an email thread from March. Attach it and the record can move: nothing reaches approved without the paper behind it, and once the executed agreement lands the figures lock.

Append-only, and specific: the actor, the field, the value before, the value after, the timestamp, and the fields that moved with it. A correction supersedes rather than overwrites, so the question "when did the pool change, and who approved it" has one answer instead of an argument.

A cap table is the most sensitive document a company owns. It names every shareholder, prices every holding, and records every board decision. We treat it that way.
AES-256 at rest, TLS 1.3 in transit. Keys are rotated on a schedule and never leave the KMS.
Data residency in India, purpose limitation on every field, and consent and erasure workflows built in rather than bolted on.
Append-only. A correction is a new record that supersedes the old one — nothing is ever silently overwritten.
Investors see their own position. The board sees the register. Only named signatories can lock a valuation.
Not a screenshot, not a video. Every table, figure and status chip on this page is the same React component the application renders — same tokens, same accessibility behaviour, same keyboard handling. Open DevTools and inspect one.
Start with the company record you already have — the register, the instruments behind it and the events that moved it. Everything else builds on that foundation.
